To the fullest extent permitted by law, Recipient shall indemnify, defend and hold harmless ATCC and its Contributors from and against any and all claims, losses, expenses and damages of any third party, including reasonable attorneys` fees (collectively, the „Claims“), arising out of or in connection with the use, receipt, handling, storage, the transmission, disposition and other activities of the Recipient, provided that the Recipient`s liability is limited to the extent that: in which such claim arises from the use, receipt, handling, storage, transmission, disposal and other activities related to ATCC materials is limited. Gross negligence or intent on the part of the ATCC. All non-monetary settlements of such claims are subject to the prior written consent of the ATCC, which shall not be unreasonably withheld. If the recipients are the United States. A Material Transfer Agreement (MTA) is a contract that governs the transfer of research material between two organizations if the recipient intends to use it for its own research purposes. The MTA defines the rights of the supplier and the rights and obligations of the consignee with respect to materials and descendants, derivatives or modifications. Biological materials such as reagents, cell lines, plasmids, and vectors are the most commonly transferred materials, but ATMs can also be used for other types of materials such as chemical compounds, mouse models, and even some types of software.
For simple transfers that do not involve intellectual property, the NIH recommends a simple letter of agreement. For materials that can be patented or for which greater protection is desired, the Uniform Biological Material Transfer Agreement (WBU) can be used. Many U.S. educational institutions have signed the UBMTA Framework Agreement. [2] The AUTM (formerly association of University Technology Managers) serves as a reference for the original UBMTA framework agreements and maintains the list of signatories. [3] UBMTA signatories only have to sign a letter of execution with the details of each transfer, as they have already accepted all the terms of the framework contract. „ORIGINAL ATCC Material“ means the Material, including, but not limited to, genetic, proteomic and metabolomic data relating to the Material, that the Recipient has received from the ATCC as described in an ATCC Order. Recipient is solely responsible for compliance with all foreign, state, state, and local laws, ordinances, and regulations that apply to the Recipient`s or its assignees` use of ATCC Materials, including U.S. export control laws and related regulations. The Recipient is solely responsible for obtaining all permits, licences or other permits required by a government agency in connection with the recipient`s receipt, handling, storage, disposal, transfer and use of ATCC Equipment. The Recipient expressly acknowledges that all ATCC trademarks are the exclusive property of ATCC and ATCC retains all right, title and interest in and to its trademarks, service marks, trade names, logos, catalogue numbers and ATCC-specific designations of ATCC Materials. Except as required in this Section on Proprietary Rights, the Recipient may not use the foregoing in any manner without THE prior written consent of ATCC.
Disclaimer: Each MTA is an agreement between the cell bank (supplier) that owns the biological material in question and the recipient of that material. Therefore, the OECD is not responsible for this. The Recipient may not assign or otherwise transfer this MTA or any right or obligation under this MTA, whether by operation of law or otherwise, without the prior written consent of ATCC, and any such attempted assignment or transfer shall be null and void and without force or effect. This MTA is binding on all authorized successors and assigns. This ATM, including all documents incorporated herein by reference, constitutes the entire agreement between ATCC and the Recipient with respect to the ATCC Materials and supersedes all prior agreements between ATCC and the Recipient with respect to the ATCC Materials. Nothing herein shall be deemed suspended or modified and no breach shall be excused unless such waiver or consent must be in writing and signed by the parties. If any provision of this ATM is held to be unenforceable for any reason, the remainder of such ATM shall remain in full force and effect. Provisions of this MLC which, by their nature or scope, are intended to survive termination or expiration shall survive.
Nothing in this ATM is intended to create a relationship between ATCC or the Beneficiary, other than those of independent companies that mutually bind each other under this Agreement solely for the purpose of implementing the provisions of this ATM. The undersigned declare that they have full authority to carry out this ATM and to bind the parties for and on behalf of the legal entities listed below. „Contributor“ means the company that files material with the ATCC. ATCC`s non-profit mission is to accept biological materials, maintain them with best practices developed over decades of service as the world`s leading biological resource center, and make them available to the research community. Three types of ATM are the most common in academic institutions: transfer between academic or research institutions, transfer from science to industry, and transfer from industry to science. Each requires different terms and conditions. [1] ATCC MATERIALS ARE NOT INTENDED FOR HUMAN USE. ATCC documents may only be used by the recipient for research purposes and may not be used for commercial purposes without first obtaining a commercial license from the ATCC.
Use may also be subject to restrictions imposed by a vendor, patentee or government agency, and ATCC makes no representations or warranties as to the existence or validity of such restrictions. .
